Cancellation & Postponement
Cancellation by Client
The following terms apply to the cancellation or postponement of a workshop, speaking engagement, coaching engagement, or consultancy (“Engagement”) by a client, regardless of the reason for such cancellation or postponement:
Workshops & Speaking Engagements
In the event that a workshop or speaking engagement, regardless if it is online or hosted in person, is cancelled or postponed by the client, the following percentage (%) of Engagement fees will be payable:
- 100%, if 0 to 10 working days notice
- 50%, 11 to 20 working days notice
- No charge, ≥ 20 working days notice
If an Engagement is cancelled or postponed by the client, the fee will be payable on the payment date applicable to the original schedule for the Engagement.
Innovation Team Coaching
Any Team Coaching engagements (“Coaching”) must occur within one (1) year from the date the proposal is signed. Prior to the start date, Coaching may be scheduled to include pauses for holidays or any other reason. After the Coaching commences, the client may request an unscheduled Pause for any scheduled Coaching session, with one maximum pause per Engagement. The length of the engagement will be extended by the duration of the pause; provided, however, that the maximum engagement extension is four (4) weeks. The client will lose any Coaching sessions to the extent a pause exceeds four (4) weeks.
In the event that a Coaching engagement is cancelled by the client, the following percentage (%) of the Engagement’s next monthly fee will be payable:
- 100%, if 0 to 10 working days notice
- 50%, 11 to 20 working days notice
- No charge, ≥ 20 working days notice
In the event that a Non-Retainer Coaching engagement is cancelled or postponed by the client after the first session, 100% of the entire Engagement fee will be payable.
If an Engagement is cancelled by the client, the fee will be payable on the payment date applicable to the original schedule for the Engagement.
Consultancy
Consulting work is billed hourly. The client can either advance payment for consulting hours or opt to be billed in arrears. Because Kromatic reserves capacity when a client makes an advance payment, any prepaid amounts must be used within a 30 day period of otherwise agreed upon period to avoid the payment being forfeited.
Postponement and Cancellation by Kromatic
Kromatic retains the right to postpone, without liability, an Engagement for a reason outside of Kromatic’s reasonable control, including, without limitation, one of the following:
- Published national government (either US Government or the government of the country in which the Engagement is scheduled) advisory against travel by Engagement participants (including coaches, workshop facilitators, speakers, trainers, consultant)
- Acts of God;
- National or regional emergency; or
- Other similar events beyond Kromatic’s reasonable control.
Kromatic may also postpone an Engagement without liability if Kromatic has determined, in its sole discretion, that travel to/from a specified destination is unadvised for the safety of its employees or contractors.
In the event that Kromatic postpones an Engagement pursuant to this policy, Kromatic will seek to reschedule the Engagement at the earliest available opportunity after the cessation of the circumstances giving rise to the postponement. Kromatic will have no liability for costs associated with postponement or rescheduling resulting from exceptional circumstances.
If both parties mutually agree that rescheduling is not feasible, the Engagement will be cancelled and Kromatic will refund any prepaid amount in respect of the Engagement.
